The Investment Thesis

Cadmus Labs is pursuing a large opportunity created by structural problems in dental benefits through a deliberately staged strategy.

The immediate commercial focus—and the primary purpose of the current pre-seed raise—is BOCA Direct: software designed to help independent dental practices create, operate, and grow their own membership programs.

The market already exists. Independent practices already offer membership programs, patients already enroll in them, and established software companies have demonstrated that practices will pay for tools that help operate them.

Cadmus Labs believes there is room to do more with that category: help practices manage membership as a more organized, measurable, and retention-oriented business while preserving their control over the programs and patient relationships they create.

Some practices may adopt BOCA Direct solely because the software makes their membership business better. Others—particularly among its earliest participants—may also share Cadmus Labs' interest in improving the future of dental benefits and choose to help shape what comes next.

The broader mission may help open the door. BOCA Direct must create enough practical value to earn the relationship that follows.

Beyond Direct, BOCA Prime represents a much larger ambition: a different model and operating architecture for dental coverage, supported by technical innovations in identity, verification, affordability, financial coordination, and other systems that have potential to become valuable in their own right.

Cadmus Labs' strategy is therefore deliberately asymmetric.

Begin with a focused commercial opportunity that can be tested on its own merits. Build toward a much larger opportunity only as the company earns the right to pursue it.

Current advances in software, AI, digital identity, financial infrastructure, and programmable systems make this an increasingly compelling time to investigate whether dental benefits can be organized differently.

Cadmus Labs has spent substantial time developing that question and a possible solution through dental-market research, competitive and pricing analysis, product and business-model development, architectural work, intellectual-property development, and firsthand experience inside dental practice.

That work has produced a disciplined starting point and a commercial thesis that can now be tested.

The current pre-seed round is intended to begin that test.

01 / FIRST BUSINESS

The First Business

BOCA Direct is membership infrastructure being developed for independent dental practices.

The practice is the customer. It pays Cadmus Labs a recurring software subscription to use the platform while retaining control over the membership programs it offers, the benefits those programs include, and the clinical care it provides.

BOCA Direct is intended to coordinate the membership lifecycle through one purpose-built platform: plan configuration, patient enrollment, recurring billing, renewals, benefit and utilization management, communications, reporting, and operational visibility.

For practices, the objective is straightforward: make membership programs easier to operate, easier to understand, and more practical to grow as recurring businesses.

For patients, the value begins with the membership program itself—a direct relationship with their dental practice that can provide access to preventive care and defined savings on additional treatment without requiring traditional dental insurance.

For Cadmus Labs, BOCA Direct creates a straightforward recurring-software business with a clear customer and an established category. If it earns adoption, it can also establish practice relationships, implementation experience, patient participation, and real operating evidence that can inform the development of BOCA Prime.

The first business creates value through software today while helping Cadmus Labs build the foundation for what may follow.

02 / ADOPTION THESIS

Why BOCA Direct May Earn Adoption

An established market gives BOCA Direct an important starting point: practices already understand the category and already pay for membership software.

The commercial opportunity is to determine whether BOCA Direct can earn adoption by giving independent practices a better reason to choose—and continue using—the platform.

01

From a Membership Plan to a Managed Business

Operating a membership program involves more than collecting a recurring payment. Enrollment, renewals, benefits, utilization, patient communication, payment failures, retention, reporting, and day-to-day administration all have to work together.

BOCA Direct is being designed around that operating reality.

Its planned product places particular emphasis on renewal and retention workflows, utilization visibility, practice-controlled plan configuration, operational reporting, compliance-aware administration, and guided implementation.

The objective is not merely to process memberships. It is to help a practice manage membership as a measurable recurring business.

02

A Commercial Case Built Before the Product

Cadmus Labs has examined established membership platforms, publicly available competitor pricing, and hundreds of product capabilities to understand what practices already buy, what the category already provides, and what BOCA Direct must offer to compete effectively.

That work has informed the planned Version 1 product, its recurring-software model, and an initial pricing strategy.

Cadmus Labs has also modeled how better renewal execution, membership retention, and administrative efficiency could justify the cost of the platform.

The commercial premise is simple:

BOCA Direct should create or preserve more value for a practice than it costs to use.

03

Now the Market Decides

Research can establish a rational starting point. It cannot establish product-market fit.

The market must now determine whether practices adopt BOCA Direct, whether the product delivers meaningful value, whether the pricing works, whether customers stay, and whether Cadmus Labs can acquire and support those customers efficiently.

BOCA Direct begins with a defined customer, an established market, a researched product strategy, and a commercial proposition ready to be tested.

03 / EXPANDING SCOPE

The Larger Opportunity

The reason to investigate investing in Cadmus Labs does not end with the economics of membership software.

The larger ambition concerns a much bigger system: the financial relationships surrounding dental care.

Approximately $150 billion moves annually through U.S. dental-insurance premiums and out-of-pocket dental spending. Cadmus Labs does not need to replace that system—or capture anything approaching its entirety—for participation in that economic activity to become meaningful.

BOCA Prime changes the scale of the question.

Prime is being designed to coordinate dental coverage through a combination of established and emerging technologies: how participants contribute, how financial support is determined, how treatment and participation are verified, and how resources move toward care.

Doing that requires more than a new set of coverage rules. It requires Cadmus Labs to develop proprietary architecture and technical capabilities around identity, verification, intelligence, privacy, financial coordination, and system integrity.

Those capabilities are being developed first because BOCA needs them. Their potential does not necessarily end there.

Rootprint, Cadmus Labs' identity and trust architecture, is being developed to create stronger continuity between real people, verified participation, professional attestations, and digital systems. If successful, that architecture could eventually have applications beyond dental care wherever systems need stronger proof that a digital identity remains connected to a real person.

DentAI, the specialized intelligence layer, is being developed to help evaluate evidence, detect anomalies, monitor patterns, and protect system integrity. Specialized capabilities developed for BOCA could also support licensing, research, verification, or infrastructure applications beyond Cadmus Labs' own products.

Rootline, Cadmus Labs' proposed affordability layer, extends the architecture in another direction—addressing the financial barrier that can remain after coverage has contributed what it can.

The investment significance is not simply that Cadmus Labs can build additional products. It is that solving the problems required to build BOCA can create technology, intellectual property, specialized intelligence, operating capabilities, and relationships with value beyond their original purpose.

That creates multiple paths through which Cadmus Labs can become more valuable.

Expanding economic and technological scope — not a development timeline.

Direct establishes the recurring software business. Prime expands the opportunity into dental coverage and financial coordination. Rootprint and DentAI introduce capabilities whose potential applications can reach beyond BOCA itself. Rootline extends it into affordability.

The result is an investment thesis with a focused commercial starting point and several potential sources of long-term value.

04 / EVIDENCE DISCIPLINE

Progress, Evidence, and What Remains Unproven

Cadmus Labs is pre-commercial.

The company has spent the period before product launch trying to answer what should be understood, designed, and tested before asking the market to validate the business.

That work has helped turn the original concept into a more defined commercial proposition.

PREPARATION

Building the Starting Point

For BOCA Direct, Cadmus Labs has developed the planned Version 1 product, studied the competitive landscape, examined pricing and willingness-to-pay signals, researched membership adoption, modeled practice-level economics, and developed the initial business and commercialization strategy.

Beyond the first business, Cadmus Labs has developed substantial architecture around BOCA Prime, Rootprint, DentAI, and Rootline, while exploring the legal, economic, technical, privacy, and regulatory questions those systems introduce.

That work has also produced intellectual property, including a U.S. patent application covering aspects of the Rootprint architecture.

Cadmus Labs has established its corporate foundation and assembled outside legal, technical, and design resources to support the company's development.

This preparation helps Cadmus Labs approach commercial testing with a clearer understanding of what to build, why a customer might buy it, which assumptions matter most, and what evidence should determine what happens next.

MARKET VALIDATION

What the Market Still Has to Establish

The most important commercial questions now require real customers and real operations.

  • Can BOCA Direct earn adoption?
  • Does it create enough ongoing value for practices to renew and continue using it?
  • How does the market respond to the pricing?
  • What does customer acquisition actually require?
  • Can Cadmus Labs support customers efficiently as the business grows?
  • Do observed acquisition, retention, implementation, support, and revenue economics support a scalable business?

These are the questions that commercial deployment is intended to answer—and the answers will inform how BOCA Direct develops.

The development and deployment of BOCA Direct should also produce experience and evidence relevant to the larger BOCA architecture: how practices participate, how patients behave, how workflows operate, where friction persists, and which assumptions hold up in real-world use.

At the same time, Cadmus Labs will continue the legal, regulatory, economic, technical, and architectural work required to further develop BOCA Prime, Rootprint, DentAI, Rootline, and the systems surrounding them.

Commercial deployment of BOCA Direct can therefore do more than test the first business. The evidence and experience it produces can also help Cadmus Labs make better-informed decisions about how the larger BOCA architecture should develop.

05 / FINANCING PURPOSE

This Round

Cadmus Labs is raising a pre-seed round primarily to build, launch, and begin commercializing BOCA Direct.

The capital is intended to support product development, deployment in dental practices, initial customer acquisition and implementation, customer support and operating capability, legal and compliance work, security, corporate infrastructure, and operating runway as Cadmus Labs begins building the commercial business.

Successful deployment of the round would move BOCA Direct from a developed product and business strategy into the market—creating the first customers, recurring software revenue, operating experience, and commercial foundation from which Cadmus Labs can grow.

Work on the broader BOCA architecture will continue alongside that effort, informed by both continued development and what Cadmus Labs learns through real-world implementation.
